Every week, thousands of Pennsylvanians turn to Google with the same question: how do I start an LLC? They are part of a real surge in new business ownership. Pennsylvania now sees roughly 3,600 new business applications a week, up more than about nine percent over the prior year, and Americans filed over 5.5 million applications in 2024, with LLCs making up the majority of new formal entities. A search engine can walk you through the filing steps; but is limited in providing sound advice regarding which structure fits your goals, how to shield your personal assets, or what foundational agreements your venture truly needs.

Choosing the right business structure, drafting sound foundational agreements, and establishing clear governance from the beginning can prevent costly disputes and complications down the road.

Kimberton Law guides entrepreneurs and business owners across Phoenixville, West Chester, and Chester County through the formation process, ensuring that new ventures are built on a solid legal foundation.

Choosing the Right Business Structure

The first major legal decision for any new business is also one of the most consequential: how to structure the entity. The most common options in Pennsylvania include sole proprietorships, general partnerships, limited liability companies (LLCs), and corporations. That single choice determines whether a creditor or lawsuit can reach your personal home and savings, how your profits are taxed, who runs day-to-day operations, and how easily you can bring in future partners or investors.

A sole proprietorship is the cheapest and simplest to run, but it offers no liability shield as the owner and the business are considered one and the same.

LLCs have become the default choice for new ventures, making up roughly seventy percent of new business entities formed nationwide. For many small and mid-sized businesses, the LLC structure offers clear advantages: the liability protection of a corporation without the rigid formalities, paired with pass-through taxation that avoids the double taxation C-corporations face. Pennsylvania LLCs are governed by the Pennsylvania Uniform Limited Liability Company Act of 2016, but that statute mostly supplies default rules that apply only when the owners have not agreed otherwise. In practice, an LLC is run by its operating agreement.

Corporations carry more formality, but for the right business that structure is a feature rather than a burden. A C-corporation is typically the entity venture investors and institutional buyers expect to see, while an S-corporation election can reduce self-employment tax for a profitable owner-operator. Businesses planning to raise outside capital, grant equity to employees, or sell within a few years often incorporate for exactly these reasons. The choice between structures is not one-size-fits-all, and Kimberton Law works with each client to understand their goals before recommending an approach.

Operating Agreements and Partnership Agreements

Filing formation paperwork with the state creates the entity; it does not decide how the business will actually run. That is the job of the operating agreement or partnership agreement, which is the document that sets how decisions are made, how profits are split, what happens when an owner exits, and how a deadlock decision is resolved to avoid litigation.

Kimberton Law drafts these agreements around how the owners actually intend to run the business, instead of leaving the terms to the defaults in Pennsylvania’s Limited Liability Company Act of 2016 or the state’s partnership statutes, defaults that often allocate profits, voting power, and buyout rights in ways the owners never would have chosen. Most partner disputes in closely held Chester County businesses trace back to a foundational agreement that was vague, outdated, or never written at all. Settling these terms while the partners still agree costs a fraction of litigating them once they don’t.

Shareholder Agreements

For corporations, a shareholder agreement addresses the rights and obligations of the owners, including transfer restrictions, buy-sell provisions, and voting arrangements. These agreements are particularly important for closely held businesses where the departure or death of a shareholder could otherwise create significant disruption.

Ongoing Compliance

Pennsylvania businesses have ongoing compliance obligations, including annual reporting requirements and maintenance of proper corporate formalities. Failing to observe these requirements can jeopardize the liability protection that the entity structure is intended to provide. Kimberton Law advises clients on compliance matters throughout the life of the business.
