Kimberton Law Successfully Obtains Arbitration Judgment in Chester County

Kimberton Law successfully obtained an arbitration judgment in Chester County against four business entities, ranging from corporations to limited liability companies, and two individuals in their personal capacity over a breach of contract dispute.

Plaintiff alleged fraud in that the individuals misrepresented their entities’ ability to perform in order to induce Plaintiff to enter into and continue to perform pursuant to the contract. The judgment is significant because it reaches the two individuals personally, and not only the entities they operated.

Business owners often assume that forming a corporation or a limited liability company insulates them from personal liability for their own conduct. That is not always true. Where an owner uses the entity to make misrepresentations or to commit fraud, a court may disregard the entity and enter judgment against that owner individually.
